IN NO EVENT SHALL ADEA LAW OF ARIZONA OR ITS AFFILIATES, GOVERNING BOARD, OFFICERS, AGENTS, EMPLOYEES, PARTNERS OR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, BUSINESS, DATA OR PROFITS, LITIGATION AND THE LIKE, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITH RESPECT TO GOODS OR SERVICES PURCHASED DIRECTLY FROM ADEA LAW OF ARIZONA THROUGH THE SITE, ADEA LAW OF ARIZONA'S LIABILITY, IN ANY CASE, IS EXPRESSLY LIMITED TO REPLACEMENT OF DEFECTIVE GOODS, OR, AT ADEA LAW OF ARIZONA'S ELECTION, TO THE REPAYMENT OR CREDITING TO YOU OF AN AMOUNT EQUAL TO THE PURCHASE PRICE OF THE GOODS. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THESE TERMS OF USE AND THE SITE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS. ADEAlawaz.com may, in its sole discretion, with or without notice, suspend or terminate your use of this Site, and remove and discard any Content on the Site, for any reason, including, without limitation if you violate these Terms. ADEAlawaz.com may also bar you from any future access to the Site. ADEAlawaz.com will not be liable to you for any such suspension, termination or prohibition on future access.

Should you object to any subsequent modifications of the terms and conditions of these Terms, your sole recourse will be to immediately notify ADEAlawaz.com of your termination of these Terms, which termination will be effective immediately. To the extent permitted by applicable law, the terms and conditions of these Terms will survive any termination of these Terms.

Any notices to you by ADEAlawaz.com may be made by either e-mail or regular mail.

19. General Provisions.

These Terms constitute the entire agreement between you and ADEAlawaz.com and govern your use of the Site, superseding any prior agreements between you and ADEAlawaz.com regarding the Site (including, but not limited to, any prior versions of these Terms).

Any failure to enforce any part of these Terms of Use shall not constitute a waiver of any of ADEAlawaz.com's rights under these Terms of Use, whether for past or future actions of any person. Neither the receipt of any funds by ADEAlawaz.com nor the reliance of any person on ADEAlawaz.com's actions shall be deemed to constitute a waiver of any part of these Terms of Use. Legal waiver may be effected only by an express written waiver signed by an authorized representative of ADEAlawaz.com.

These Terms and the resolution of any dispute related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any principles of conflicts of law. ADEAlawaz.com's failure to insist upon strict enforcement of any provision of these Terms shall not be construed as a waiver of any provision or right. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will be enforced in accordance with their terms. The section headings in these Terms are for convenience only and have no legal or contractual effect.

Regardless of any statute or law to the contrary, you hereby waive your right to bring any claim against ADEAlawaz.com more than 1 year after such claim first arose.

 20. Arbitration.

Any controversy or claim arising out of or relating to these Terms will be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party. You consent to the arbitration being conducted in the county of Maricopa, Arizona. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. Either you or ADEA Law of Arizona may seek any interim or preliminary equitable relief from a court of competent jurisdiction in the county of Maricopa, Arizona, necessary to protect the rights or property of you or ADEA Law of Arizona pending the completion of arbitration.

 21. Acceptance of Terms.

You acknowledge that you have read and agree to be bound by these Terms of Use and to comply with all applicable laws and regulations. You represent that you have the legal authority to accept these Terms of Use for yourself or for any party that you represent. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SITE.
